2. Trader Information (Pre-Contractual Disclosure)
2.1 Trader Identity
- Trader: Warrant Art Lab
- Location: Hanko, Finland
- Contact email: support@warrantartlab.com
- This information is provided in accordance with Chapter 6, Section 9 of the Finnish Consumer Protection Act, which requires traders to disclose their identity, geographical address, and contact details before a distance contract is concluded.
2.2 Main Characteristics of the Service
- WaL is a digital platform for the creation, management, trading, licensing, and display of Digital Art Warrants ("DAWs") โ structured digital provenance records linked to artworks.
- Services include: DAW creation and registration, marketplace trading (fixed-price, auction, and offer-based), print ordering and display rights licensing, gallery and community features, and royalty distribution.
- DAWs are digital provenance instruments, not financial securities or investment products. A DAW represents a verifiable chain of custody and rights record for an artwork.
2.3 Pricing & Payment
- All prices on the WaL platform are displayed in the applicable currency (EUR unless otherwise stated) and include VAT where applicable.
- Platform fees, royalty deductions, and any additional costs are disclosed before the consumer confirms a transaction.
- Payment is processed through WaL's integrated payment infrastructure. Accepted payment methods are displayed at the point of purchase.
- For marketplace transactions between users, the total cost includes the item price plus any applicable platform fees, which are clearly itemised before purchase confirmation.
4. Conformity & Defect Remedies for Digital Content
4.1 Conformity Requirements
- Under the EU Digital Content Directive (2019/770), as implemented in Finnish law, WaL is responsible for ensuring that digital content and digital services supplied to consumers conform to the contract.
- Digital content must: (a) be fit for the purposes for which digital content of the same type would normally be used; (b) possess the qualities and features that the consumer can reasonably expect; and (c) comply with any description provided by WaL prior to purchase.
- For DAWs, conformity means: the provenance record accurately reflects the information provided at creation, the DAW is accessible and functional within the WaL platform, and any associated rights (display, print licensing) operate as described.
4.2 Reporting Defects
- If a consumer discovers a defect or non-conformity in digital content or a digital service, they should notify WaL as soon as practicable by contacting support@warrantartlab.com.
- WaL is liable for any lack of conformity that exists at the time of supply or, for continuous supply, that occurs during the period of supply.
- For defects that become apparent within one year of supply, the defect is presumed to have existed at the time of supply unless WaL demonstrates otherwise.
4.3 Remedies
- Where digital content does not conform to the contract, the consumer is entitled to have the content brought into conformity free of charge within a reasonable time.
- If conformity cannot be achieved, or WaL fails to bring the content into conformity within a reasonable time, the consumer is entitled to a proportionate reduction in price or termination of the contract and a refund.
- These remedies are without prejudice to any right to claim damages under applicable Finnish law.
6. Price & Payment Transparency
6.1 Total Price Disclosure
- Before a consumer confirms any purchase on WaL, the total price โ including all applicable fees, taxes, and charges โ is clearly displayed.
- Platform fees and royalty deductions are itemised separately so consumers can see exactly how the total price is composed.
- If the price cannot be calculated in advance (e.g., auction outcomes), the manner in which the price is calculated is clearly explained.
6.2 Currency & VAT
- Prices are displayed in EUR unless the consumer's preferences or location indicate otherwise.
- VAT is included in displayed prices for consumers within the EU, in accordance with Finnish VAT legislation (arvonlisaverolaki 1501/1993).
- For consumers outside the EU, applicable taxes and duties may vary and are the responsibility of the consumer.
8. Alternative Dispute Resolution (ADR)
8.1 Finnish Consumer Disputes Board
- Consumers may refer disputes to the Finnish Consumer Disputes Board (kuluttajariitalautakunta), which provides free-of-charge dispute resolution for consumer complaints.
- Contact: Kuluttajariitalautakunta, Hameentie 3, P.O. Box 306, 00531 Helsinki, Finland. Website: www.kuluttajariita.fi
- Before filing with the Consumer Disputes Board, consumers should first contact the Consumer Advisory Services (kuluttajaneuvonta) for guidance: www.kkv.fi/kuluttajaneuvonta
8.2 EU Online Dispute Resolution (ODR)
- The European Commission provides an Online Dispute Resolution (ODR) platform for consumers who wish to resolve disputes arising from online purchases.
- The ODR platform is available at: https://ec.europa.eu/consumers/odr/
- When filing through the ODR platform, WaL's contact email for dispute resolution is: support@warrantartlab.com
9. Supervisory Authorities
9.1 Finnish Consumer Ombudsman
- The competent supervisory authority for consumer protection matters related to WaL is the Finnish Consumer Ombudsman (kuluttaja-asiamies), operating under the Finnish Competition and Consumer Authority (Kilpailu- ja kuluttajavirasto, KKV).
- KKV website: www.kkv.fi
- The Consumer Ombudsman supervises compliance with consumer protection legislation and can take enforcement action against traders who violate consumer rights.
9.2 Data Protection
- For matters related to personal data processing, the competent authority is the Finnish Data Protection Ombudsman (Tietosuojavaltuutetun toimisto). See the WaL Privacy Policy for details.
10. Liability for Digital Content
10.1 WaL's Responsibility
- WaL is responsible for ensuring that digital content and digital services supplied to consumers conform to the contract at the time of supply, and throughout the period of supply for continuous services.
- WaL's liability covers defects in the platform's functionality that prevent a consumer from accessing, using, or transferring their DAWs as described in the service documentation.
- WaL is not liable for: (a) defects caused by the consumer's own equipment, software, or internet connection; (b) modifications to digital content made by the consumer or a third party; or (c) the consumer's failure to install updates that WaL has made available, provided WaL informed the consumer of the update and the consequences of not installing it.
10.2 Limitation Period
- Under Finnish law, claims related to defects in digital content must be made within a reasonable time after the consumer discovered or should have discovered the defect.
- For digital content supplied in a single act of supply, WaL is liable for defects that become apparent within two years of supply.
- These limitation periods do not affect any longer limitation periods available under general Finnish contract law.
